Delay Notification and Termination

If either party anticipates a delay in the performance of their obligations under this agreement, they must notify the other party in writing promptly. Upon receipt of a delay notification, the parties will work together in good faith to agree on an extension of time for the affected obligations, considering the circumstances leading to the delay. If the delay is caused by one party and results in additional costs or damages to the other party, the party causing the delay may be required to compensate the other party. The compensation shall be 50% off the expected monthly fee as outlined in the agreement. If the delay persists beyond a specified period (30 days), the non-delaying party reserves the right to terminate the contract with written notice to the delaying party. In the event of termination due to persistent delays, the delaying party shall be liable to pay a penalty of 90% of the monthly payment calculated based on the 24-month contract.

If termination occurs after one month but within three months of signing the contract, the penalty shall be equivalent to 12 months’ worth of monthly payments. If termination occurs within one month of signing the contract, the penalty will be limited to 68,000 HKD per entity. If termination occurs after three months of signing the contract, the penalty shall be equivalent to the total duration of the contract's monthly payments. We reserve the right to have the final decision of any disputes arising from delays, terminations, or penalties. The party liable for payment of penalties agrees to settle the penalty amount within 30 days of the notification of penalties.
